Terms and Conditions

The agreement between you and us for use of MedStock.

Effective 01 September 2026

1. Who you are contracting with MedStock ("the Service") is provided by MedPoint-Consulting (Pty) Ltd (registration number 2026/672906/07, registered with the South African Companies and Intellectual Property Commission) ("we", "us", "our"). By creating an account or continuing to use the Service you agree to these Terms and Conditions. If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation; if you are accepting as an individual, you confirm you are of legal age.

2. The Service MedStock is a subscription web application for counting, reconciling and reporting on medical storeroom stock. It includes catalogue management, barcode scanning, counting sessions, variance reporting, order lists, batch and expiry tracking, stock movements, label printing and audit history.

3. Your account You must provide accurate registration details and keep them up to date. You are responsible for keeping account credentials confidential and for all activity carried out under your account. Tell us promptly at hello@medpoint.health if you suspect unauthorised access.

4. Acceptable use You must not misuse the Service. In particular you must not: - use it for any unlawful purpose, or in breach of medicines, health or data protection regulation applicable to you; - commit fraud, send spam, or impersonate another person or organisation; - infringe the intellectual property or privacy rights of others; - interfere with the security or integrity of the Service, including introducing malware, probing or scanning for vulnerabilities, bypassing access controls, or scraping data by automated means.

5. Licence and restrictions We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. You must not reverse engineer, decompile, resell or redistribute the Service, or circumvent seat, storage or other technical limits.

6. Your data You retain ownership of the catalogue, count, batch and audit data you enter. You grant us a limited licence to host and process that data solely to provide and support the Service. You are responsible for having the right to upload the data you enter, and for the accuracy of your counts and records.

7. Intellectual property We retain all right, title and interest in the Service, including its software, interfaces, documentation and branding. Nothing in these Terms transfers ownership of our intellectual property to you.

8. Service level We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. Maintenance, third-party outages and events beyond our reasonable control may affect availability. The Service supports stock counting; it does not replace your own regulatory record keeping or professional judgement.

9. Payment, subscription and billing Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing frequency, taxes, renewals, cancellations and refunds are governed by the Paddle Checkout Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms. Subscriptions renew automatically for the plan period selected until cancelled. Our own refund commitment is set out in the Refund Policy.

10. Suspension and termination We may suspend or terminate access where there is material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may cancel at any time. On termination you may export your data for 30 days, after which it may be deleted.

11. Warranties and liability To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

12. Indemnity You will indemnify us against claims arising from your data, your unlawful use of the Service, or your breach of these Terms.

13. General We may assign these Terms as part of a merger or acquisition; you may not assign without our consent. Neither party is liable for delay caused by events beyond its reasonable control. These Terms are governed by the laws of the jurisdiction in which MedPoint-Consulting (Pty) Ltd (registration number 2026/672906/07, registered with the South African Companies and Intellectual Property Commission) is established, and the courts of that jurisdiction have exclusive jurisdiction over disputes.
